Terms of Service

1. The Service

Allocent is a marketing decision platform for brands. It ingests business and advertising data you provide or connect, computes metrics and diagnostics, and recommends marketing decisions. Where you connect an advertising account and explicitly approve an action, Allocent may execute that action on the connected account via the platform's official API. By creating an account you agree to these Terms.

2. Accounts

You must provide accurate information, keep your credentials secure, and be authorized to act for the business whose data you connect or upload. You are responsible for activity under your account.

3. Your Data

You retain all rights to the business data you upload or connect. You grant Allocent a limited license to process that data solely to provide the Service to you. You confirm you have the rights and consents needed to provide the data, including data connected via Meta or Google OAuth.

4. Approvals and Executed Actions

Recommendations are presented for your review. Campaign changes are made only after your explicit approval of a specific action within the Service (or via an export you apply yourself). You remain responsible for decisions you approve, including resulting advertising spend on third-party platforms.

5. Fees

Allocent is priced on a pay-as-you-go basis: fees apply to the agents, metrics, and tools you activate and, where indicated, to executed actions. Applicable rates are shown before activation. Fees are exclusive of GST and other taxes, which will be added where applicable. Fees for a completed billing period are non-refundable except where required by law.

6. Acceptable Use

You may not: misuse or attempt to breach the security of the Service; access another customer's data; upload data you have no right to use; use the Service to violate any law or the terms of Meta, Google, or any connected platform; or reverse-engineer or resell the Service without written permission.

7. Third-Party Platforms

The Service interoperates with third-party platforms (including Meta and Google). Their availability, APIs, and policies are outside our control; connected features may be affected by changes those platforms make. Your use of those platforms remains subject to their terms.

8. Disclaimers

The Service provides analytical outputs and recommendations based on the data available to it. Outputs may contain errors and are not a guarantee of business results. Except as expressly stated, the Service is provided "as is" without warranties of any kind. Allocent does not provide financial, legal, or investment advice.

9. Limitation of Liability

To the maximum extent permitted by law, Allocent's aggregate liability arising out of or relating to the Service is limited to the fees you paid to Allocent in the three (3) months preceding the event giving rise to the claim, and Allocent is not liable for indirect, incidental, or consequential losses, including lost profits or advertising spend on third-party platforms.

10. Suspension and Termination

You may stop using the Service and request account deletion at any time (see Data Deletion Instructions). We may suspend or terminate accounts that breach these Terms, with notice where practicable.

11. Changes to the Service or Terms

We may modify the Service and these Terms; material changes will be notified via the Service or email. Continued use after changes take effect constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of India. The courts of Maharashtra, India shall have exclusive jurisdiction, subject to any mandatory provisions of applicable law.
